Terms of use

These terms are a binding agreement between you and Memorio Studio LLC, a Wyoming limited liability company ("Memorio Studio", "we", "us"), governing your use of this website and any service we offer through it, including subscribing to updates and contacting us. By using the site you accept these terms. If you do not accept them, do not use the site.

Applications we publish are licensed separately, under the terms presented with each application and, where distributed through an app marketplace, under that marketplace's standard end user licence agreement.

Eligibility

You must be at least 13 years old, and old enough to form a binding contract where you live, to use this site or submit information through it.

Acceptable use

You may read, link to and share these pages. You may not: interfere with the operation or security of the site; attempt to access any system or data you are not authorised to access; introduce malicious code; scrape or harvest at a volume that burdens the service; misrepresent your identity; or use the site to violate any law or the rights of others.

Subscriptions and communications

If you give us your email address, you agree that we may use it to send what you asked for and, where permitted, occasional messages about our own products. Every marketing message carries an unsubscribe link. You are responsible for the accuracy of the address you provide and for keeping your access to it secure.

Intellectual property

The site and its contents — text, design, layout, graphics, and the Memorio Studio name, logo and marks — are owned by Memorio Studio LLC or its licensors and are protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to view the site for personal, non-commercial purposes. No other rights are granted, and nothing here permits use of our marks without written permission.

Feedback and submissions

If you send us ideas, suggestions, bug reports or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it without restriction or compensation. Please do not send us confidential information or anything you are not free to share.

Third-party links and services

The site may link to services we do not control. We are not responsible for their content, practices or availability, and a link is not an endorsement. Your use of a third-party service is governed by that party's own terms.

Statements about future work

Descriptions of products or features in development state present intent, not a commitment. Plans, features and timing may change, and work described here may never be released. You should not rely on any such statement in making a decision.

Disclaimer of warranties

The site is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the site will be uninterrupted, timely, secure or error-free, or that any information on it is accurate or complete. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

Limitation of liability

To the maximum extent permitted by law, Memorio Studio LLC and its members, officers and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or relating to your use of the site, whether based in contract, tort, strict liability or otherwise, even if advised of the possibility. Our total liability for all claims relating to the site will not exceed one hundred United States dollars (US$100). Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including for fraud, or for death or personal injury caused by negligence.

Indemnity

You agree to indemnify and hold harmless Memorio Studio LLC from any claim, demand, loss or expense, including reasonable legal fees, arising from your misuse of the site or your breach of these terms or of applicable law.

Termination

We may suspend or discontinue the site, or any part of it, at any time and without notice. The sections that by their nature should survive termination — including intellectual property, feedback, disclaimers, limitation of liability, indemnity and governing law — will survive.

Governing law and disputes

These terms are governed by the laws of the State of Wyoming and the United States, without regard to conflict-of-laws principles. You and we agree to the exclusive jurisdiction of the state and federal courts located in Wyoming, and each waives any objection to venue there. Before filing a claim, you agree to try to resolve the dispute informally by writing to us and allowing thirty days to respond.

General

These terms are the entire agreement between you and us regarding the site and supersede any prior understanding on that subject. If a provision is held unenforceable, the rest remains in effect and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them in connection with a merger, acquisition or sale of assets.

Changes

We may update these terms. The date above shows when they last changed, and continuing to use the site after a change means you accept the updated terms. Where a change is material, we will describe it here.
